PFRDA Appoints Bank of Baroda as Pension Fund Sponsor; Lender Becomes Second PSU Bank in Market

MUMBAI — The Pension Fund Regulatory and Development Authority (PFRDA) has granted the Certificate of Appointment as Sponsor of a Pension Fund to Bank of Baroda (BoB). The move makes the state-run lender only the second public sector bank in India to enter the pension fund management segment, breaking an 18-year run where the State Bank of India (SBI) stood as the sole public sector lender managing National Pension System (NPS) assets.

The regulatory certificate was formally handed over during the PFRDA-organized NPS Divas 2026, an annual convention convening institutional lenders, Central Recordkeeping Agencies (CRAs), and senior officials from the Ministry of Finance's Department of Financial Services.

Corporate Structure and Subsidiary Setup

Bank of Baroda received its formal sponsor authorization under Section 27 of the PFRDA Act, 2013. Ahead of the certificate handover, the lender cleared foundational corporate and regulatory hurdles, incorporating its dedicated pension asset subsidiary—BOB Pension Fund Management Company Limited—with an authorized share capital of ₹100 crore.

Operational Parameter Regulatory Detail
Parent Sponsor Bank of Baroda (80.10% equity stake)
Partner Shareholder Baroda BNP Paribas AMC (19.90% equity stake)
Statutory Entity BOB Pension Fund Management Company Ltd
Authorized Capital ₹100 Crore
Pre-Incorporation Approvals PFRDA In-Principle Nod (May 2026); RBI Clearance (July 2026)
Regulatory Benchmark Section 27, PFRDA Act, 2013

The subsidiary will manage retirement pools across government and corporate subscribers, individual retail NPS accounts, and Atal Pension Yojana portfolios once commercial investment operations begin.

Breaking an 18-Year Public Sector Monopoly

State Bank of India established SBI Pension Funds Pvt Ltd in April 2008, holding the distinction of being the only PSU bank sponsor in the field. During that span, private sector financial entities—including ICICI Prudential, HDFC, Kotak Mahindra, and Axis—built strong market share alongside state-owned financial institutions such as LIC Pension Fund and UTI Pension Fund.

As of August 2026, SBI Pension Funds managed more than ₹6.14 lakh crore in assets under management (AUM). With Bank of Baroda's entry, retail and corporate NPS subscribers gain a second public sector banking option backed by a sovereign-majority shareholder.

Bank of Baroda operates a nationwide footprint of over 8,200 domestic branches and an active account base exceeding 150 million customers. That retail scale offers the newly minted pension unit direct distribution leverage into Tier-2, Tier-3, and rural markets, where long-term retirement penetration remains historically low.

Digital Push: Tatkal NPS via BHIM

Alongside the sponsor appointment, the lender rolled out Tatkal NPS integration on the BHIM UPI app. Developed in partnership with NPCI BHIM Services Limited, the feature enables paperless digital onboarding, allowing users to open an NPS account and allocate contributions using basic bank-linked KYC in a few taps.

Speaking at the announcement, Dr. Debadatta Chand, Managing Director & CEO of Bank of Baroda, said:

"Today marks an important milestone for Bank of Baroda as we become the second Public Sector Bank to enter the pension fund business. We have also onboarded Tatkal NPS on the BHIM App. These milestones reinforce our commitment to expanding access to retirement solutions and leveraging digital innovation to make pension products accessible and convenient across the country."

Market Implications for NPS Subscribers

India’s total NPS and Atal Pension Yojana AUM has expanded at a compound annual rate above 25% over the past five years, supported by corporate mandates and tax-advantaged voluntary contributions under both Old and New Tax Regimes.

For retail investors, the entry of BOB Pension Fund Management introduces two practical shifts:

  1. Fee Competition and Performance Benchmarking: A wider field of institutional managers gives subscribers greater flexibility during annual Pension Fund Manager (PFM) switching windows.

  2. Accessible Distribution: Combining branch-level banking networks with automated mobile channels reduces onboarding friction for self-employed and unorganized sector workers seeking structured pension coverage.

The bank confirmed that full commercial fund management activities are scheduled to deploy before the end of the current financial year.
